Terms of Service

These Terms of Service ("Terms") govern your access to and use of GembaKitchen, the kitchen-operations platform available at gembakitchen.com and its dashboard, owner and API services (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are
The Service is operated by GEMBA EOOD ("GembaKitchen", "we", "us"), a company registered in Bulgaria (EIK 208656371), based in Varna. You can reach us at [email protected].
2. The Service
GembaKitchen is a multi-tenant software-as-a-service for managing a kitchen's operations: products and stock, recipes and menus, sales and reports, a curated recipe cookbook, and an AI assistant you can use by chat or by voice. The Service is provided on an "as available" basis and may evolve over time as we add, change or remove features.
3. Accounts & eligibility
- You must be at least 18 years old and able to enter into a binding contract.
- You are responsible for the accuracy of your registration details and for keeping your password and any two-factor credentials secure.
- You are responsible for all activity that happens under your account, and for your team members' use of your workspace.
- Notify us promptly at [email protected] if you suspect unauthorised access.
- Password changes are confirmed by a 6-digit code sent to your e-mail: you enter your current password and the new one (twice), then confirm the e-mailed code before the change takes effect.
- Two-factor authentication (2FA) is available on your account — an authenticator app (scan a QR) or a 6-digit code e-mailed at each sign-in. It is off by default; you can turn it on or off in your dashboard.
- Deleting your account. You can permanently delete your account from your dashboard. For security this requires two-factor authentication to be enabled and a final confirmation (an authenticator or e-mailed code). Deletion is permanent and irreversible — your account and associated data are removed and you are signed out. Please export any data you need beforehand.
- Notifications. We may send you in-app notifications about your own activity (for example low stock, sales, added products or recipes, and orders) and about the platform (new features, changes to these Terms, and price changes). You control them in your notification settings: your own activity notifications can be turned on or off individually; platform notifications can be turned off entirely.
4. Free trial, subscriptions & billing
- New accounts may start with a 72-hour free trial. After the trial, continued access requires an active paid plan.
- Paid plans are offered on monthly terms and are billed through our payment partner, GembaPay. We do not store your card details.
- Two ways to pay. A paid plan can be funded either as a recurring subscription (paid by card via GembaPay; it auto-renews each period and your card is charged automatically) or as a one-time payment for a single period (paid by card or supported cryptocurrency; it does not auto-renew — you pay again to extend). Customers paying with cryptocurrency use the one-time option, because a crypto wallet cannot be automatically charged each cycle.
- Cancelling a recurring subscription. You can cancel a recurring (auto-renewing) subscription at any time from the dashboard. Cancellation takes effect at the end of the current paid period — your access continues until then and is not renewed afterwards. One-time payments are not recurring and require no cancellation.
- Gift codes. You may buy a plan as a gift; the redemption code is e-mailed to the recipient address you provide. You are solely responsible for entering the correct recipient e-mail address — the code is delivered to whatever address you enter, and we cannot recover or reissue a code sent to a wrong address. A gift code is a full-price voucher (no discount), redeemed by the recipient in their own account.
- Discount codes. A promotional discount code reduces the price of a payment. On a recurring (auto-renewing) subscription a discount applies to the first charge only and is available when paying by card (Stripe) — automatic recurring billing with a discount is not available via PayPal. On a one-time payment the discount applies to that single payment (card or supported cryptocurrency). Discount codes are separate from gift and voucher codes.
- Access to tenant features is gated by an active subscription; if a subscription lapses, your data is retained but access may be limited until you renew.
- Fees are stated at the point of purchase. Unless required by law, payments are non-refundable for periods already started.
- Paying with GMB — 20% discount (with GembaBlockchain mainnet). When GembaBlockchain mainnet launches, you will be able to pay your subscription in GMB (the native utility coin of GembaBlockchain) for a 20% discount versus the standard price, computed at the fixed rate 1 GMB = €1. GMB is a utility coin used for services — it has no buyback, no fiat redemption and no guaranteed market price, and it is not an investment. See gmb.gembachain.io.
5. Acceptable use
You agree not to: (a) use the Service unlawfully or to store unlawful content; (b) attempt to access another tenant's data or otherwise breach the multi-tenant isolation; (c) probe, scan or test the vulnerability of the Service without our written permission; (d) overload, disrupt or reverse-engineer the Service; or (e) resell the Service without our agreement. We may suspend accounts that put the Service or other users at risk.
6. Your content & data
You retain ownership of the data you enter into the Service (your products, recipes, menus, sales and related records — "Your Content"). You grant us the limited rights needed to host, process and display Your Content in order to provide the Service to you. We handle personal data as described in our Privacy Policy.

8. Intellectual property
The Service, including its software, design, the curated recipe cookbook and the GembaKitchen brand, is owned by GEMBA EOOD and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. Recipes you copy from the cookbook into your own kitchen become editable copies you may use within your business.
9. Availability & changes
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, and we may modify or discontinue features. We will make reasonable efforts to give notice of material changes that adversely affect paid customers.
10. Disclaimers & limitation of liability
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. We are not liable for indirect, incidental or consequential damages, or for loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms or if required by law. On termination we may delete your data after a reasonable retention period; you may request an export beforehand by contacting us.
12. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the latest version. When we make material changes, we notify you in the app with a summary of what changed. Continued use of the Service after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the Republic of Bulgaria, and the courts of Bulgaria have jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you may have where you live.
